1. Introduction

By visiting the Website, opening an Account, purchasing Credits, or obtaining or accessing E-Learning Materials through the Website, you confirm that you have read, understood, and accepted these Terms.

If you do not accept these Terms, you should not use the Website or purchase Credits or E-Learning Materials.

We may revise these Terms from time to time. A revised version will take effect once it is posted on the Website, and continued use of the Website after publication will indicate acceptance of the updated Terms.

2. Definitions

In these Terms, the following definitions apply:

• “Account” refers to the account a user creates in order to access the Website and its available functions
• “Credits” are digital units purchased with real money and used to obtain eligible E-Learning Materials offered on the Website
• “E-Learning Materials” means the digital educational, instructional, informational, reference, training, and related resources made available through the Website
• “Materials” includes E-Learning Materials and any related documents, files, resources, text, graphics, content, or other digital resources provided through the Website
• “Skill Level” means the level assigned to a subject, such as Beginner, Intermediate, Advanced, or Expert
• “User”, “you”, and “your” refer to anyone who visits or uses the Website, creates an Account, purchases Credits, or obtains Materials through it

3. Eligibility

You must have the legal capacity required by the laws that apply to you to enter into a binding agreement and to use the Website or purchase Credits and Materials.

By using the Website, you represent that the information you submit is accurate, complete, and kept up to date.

If you use the Website for a company, organization, or other legal entity, you confirm that you are authorized to commit that entity to these Terms.

4. Account Registration

Some Website features may only be available after you create an Account.

You are responsible for the following:

• Providing accurate and complete registration information;
• Keeping your Account information up to date;
• Maintaining the confidentiality of your login credentials;
• Preventing unauthorized access to your Account; and

• Social Media Marketing

Individual subjects may be available across several Skill Levels, including Beginner, Intermediate, Advanced, and Expert.

Subjects, Materials, Skill Levels, formats, and Website features may be changed, added, or removed from time to time without prior notice.

We cannot promise that any specific Material, subject, Skill Level, or category will remain available permanently.

6. Credits

Eligible E-Learning Materials on the Website may be obtained by using Credits.

Credits are digital units that may be bought with real money using the payment methods and currencies offered on the Website, which may include USD (USD$) and JPY (¥).

Credits may be applied to eligible E-Learning Materials. The required Credit amount for each Material will be shown on its relevant product page before you complete the transaction.

Credits:

• Have no cash or monetary value outside the Website;
• Cannot be exchanged for cash;
• Cannot be redeemed for cash or transferred to a bank account;
• Cannot be sold, transferred, assigned, or exchanged between users or Accounts;
• May only be used for eligible purchases on the Website; and
• May be subject to any validity or expiration period stated on the Website at the time of purchase

We may change Credit prices, the number of Credits needed for particular Materials, or other Credit terms at any time; completed transactions will not be changed by such revisions.

7. Purchase of Credits

When purchasing Credits, you agree to provide accurate and complete payment and billing information.

You authorize us and/or our designated payment service providers (Amex, Visa, Mastercard, JCB) to charge the amount applicable to the Credit package you select.

The available Credit packages and their prices will be shown on the Website before you confirm a purchase.

Some Credit packages may include additional Bonus Credits at no extra monetary charge.

The applicable Bonus Credit amount for a package will be displayed on the Website when you make the purchase.

For example, a Credit package may provide a specified number of purchased Credits together with an additional allocation of Bonus Credits. The applicable allocation may vary depending on the amount purchased and any promotional offer in effect at the time.

Buying Credits alone does not purchase a specific E-Learning Material. The Purchased Credits and Bonus Credits can later be applied to eligible Materials in accordance with these Terms.

We may change, pause, or end any Credit package or Bonus Credit promotion at any time.

8. Bonus Credits

We may award Bonus Credits according to the amount of Credits purchased.

Bonus Credits are provided at no additional monetary cost and are separate from Credits purchased directly by you.

Unless we expressly state otherwise:

• Bonus Credits have no cash or monetary value;
• Bonus Credits are non-refundable;
• Bonus Credits cannot be exchanged for cash;
• Bonus Credits cannot be transferred, sold, assigned, or exchanged between Accounts;
• Bonus Credits cannot be withdrawn or converted into Purchased Credits;
• Bonus Credits may only be used for eligible Materials available through the Website; and
• Bonus Credits may be subject to an expiration date or other promotional conditions specified at the time they are issued

If a Credit purchase is refunded or you otherwise qualify for a refund, associated Bonus Credits will not be included in the refund or converted to cash or another monetary value.

Where applicable, unused Bonus Credits may be cancelled or removed from your Account if the related Credit transaction is refunded, reversed, cancelled, or found to be fraudulent or unauthorized.

If a purchase includes both Purchased Credits and Bonus Credits, we reserve the right to determine the order in which Credits are deducted when you obtain Materials.

9. Use of Credits for E-Learning Materials

Once your Account contains enough Credits, you may use them to obtain eligible E-Learning Materials.

Before confirming a transaction, you should review:

• The subject title;
• The applicable Skill Level;
• The description of the Materials;
• The number of Credits required; and
• Any other information displayed on the relevant product page

After you confirm the transaction, the required number of Credits will be deducted from your Account.

Unless we expressly state otherwise, obtaining E-Learning Materials gives you a limited, non-exclusive, non-transferable right to access and use those Materials for your own non-commercial educational and informational purposes, subject to these Terms.

10. Delivery and Access

E-Learning Materials are digital products and are delivered by email. The following rules apply to every purchase and are set out in full in our Delivery & Access Policy.

The 2 weeks run from the date the access email is sent, not from the date of payment, the date the email is opened, or the date you begin reading. We do not offer lifetime, unlimited, or permanent access.

You understand that digital Materials may require compatible devices, software, internet access, or other technical requirements.

We do not guarantee that Materials will be compatible with every device, operating system, browser, application, or software environment.

We may make reasonable technical adjustments to the Website or Materials when needed for security, functionality, compatibility, or operational reasons.

11. Intellectual Property Rights

The Materials available through the Website—including text, documents, graphics, illustrations, designs, logos, layouts, images, video, audio, software, and other content—are owned by us or licensed to us and are protected by applicable intellectual property laws.

Purchasing or otherwise obtaining Materials does not transfer ownership or intellectual property rights in them to you.

Unless expressly permitted by us in writing, you may not:

• Copy, reproduce, or redistribute the Materials;

• Share Materials with other individuals or organizations;

We may suspend or terminate access where we reasonably believe prohibited activity has taken place.

13. Pricing and Payment

The Website will display the prices for Credits and any other applicable charges in USD ($) and JPY (¥).

Your payment provider or financial institution may apply additional fees, currency conversion charges, taxes, or other charges. We are not responsible for fees imposed by your bank, card issuer, payment provider, or other financial institution.

Prices may be revised at any time, but a completed transaction will not be affected by a later price change.

14. Refunds and Cancellations

Because Credits and E-Learning Materials are digital products, cancellation and refund rights may be limited as described in this Policy and applicable law.

Unless otherwise required by applicable law or expressly stated in our Refund Policy:

• Purchased Credits are non-refundable once the transaction has been successfully completed;
• Bonus Credits are non-refundable under all circumstances, except where otherwise required by applicable law;
• Bonus Credits have no cash value and cannot be exchanged for a monetary refund;
• Credits that have already been used to obtain E-Learning Materials are non-refundable;
• E-Learning Materials that have already been accessed, downloaded, or otherwise made available to you may not be eligible for a refund; and
• Change-of-mind requests may not be eligible for a refund; and
• An access period that has ended after the 2 weeks described in our Delivery & Access Policy is not refundable

If a refund is approved for a Credit purchase that included Bonus Credits, only the eligible amount actually paid for the purchased Credits may be considered for refund. Bonus Credits will not form part of the refundable amount.

Where Bonus Credits have already been used to obtain E-Learning Materials and the related Credit purchase is subsequently refunded, we reserve the right to deduct the corresponding value from any refund, cancel the obtained Materials, or take other reasonable action to prevent misuse of promotional Credits, subject to applicable law.

If you believe that you have been incorrectly charged, received an incorrect number of Credits or Bonus Credits, or experienced a technical issue affecting a purchase, you should contact our support team as soon as reasonably possible.

15. Accuracy of Information

We take reasonable steps to keep information published on the Website accurate and current.

However, we do not guarantee that descriptions, prices, availability, technical details, or other Website content will always be complete, accurate, or free from errors.

We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time without prior notice.

16. Educational and Informational Disclaimer
